Membership and Terms of Use

These Membership and Terms of Use govern the use of the www.duna.com.tr website, membership procedures and the services provided to members.

By completing the membership process, the User declares that they have read and understood this document and agree to its provisions. If these terms are not acceptable to the User, the User should not complete the membership process or should terminate their membership.

1Parties and Scope

Under these terms, DUNA Dış Ticaret Ltd. Şti. shall be referred to as “DUNA”; the www.duna.com.tr website as the “Website”; and natural or legal persons who visit or register with the Website as the “User”.

These terms govern use of the Website and the membership relationship. Product orders and sales transactions are assessed separately under the terms of sale, pre-contractual information, relevant agreements and applicable legislation presented during the ordering process.

2Membership Application and Account Creation

Sections of the Website that do not require membership are open to visitors. To access certain services, including company-specific prices, stock information, orders and current account information, a membership must be created and, where required, the membership application must be approved by DUNA.

The User must be at least 18 years old and have legal capacity. A User creating a membership on behalf of a company or another legal entity acknowledges that they are authorised to represent that legal entity.

DUNA may assess membership applications according to commercial, operational and security criteria and may request the necessary information and documents. Submission of a membership application does not mean that the application will necessarily be approved.

Membership is free of charge unless expressly stated otherwise.

3Accuracy of User Information

The User acknowledges that the information provided during membership and ordering procedures is accurate, complete and current. Any changes to this information must be updated by the User within a reasonable period.

To the extent that DUNA is not at fault, the User is responsible for delays and disruptions in membership or ordering processes caused by incorrect, incomplete, outdated or misleading information.

4Account and Password Security

The User is responsible for maintaining the confidentiality of their username, email address, password and other account information. The User must not share account information with unauthorised persons and must use a secure password.

If the User becomes aware of unauthorised use of the account or a security breach, DUNA must be informed without delay. DUNA may request a password reset or temporarily suspend access to the account to maintain account security.

5Acceptable Use and Security Rules

The User may not engage in the following activities:

  • Share incorrect, incomplete, misleading or unlawful information or content,
  • Use another person’s account, email address, contact details or identity information without permission,
  • Attempt to gain unauthorised access to other users’ accounts or personal information,
  • Use software, code or methods that may disrupt the security, operation or infrastructure of the Website,
  • Place an excessive load on servers or databases, collect data without authorisation, or copy Website content without permission using automated systems,
  • Carry out or attempt to carry out fraudulent order, payment, pricing or membership transactions,
  • Use the Website in a manner that infringes the rights of third parties or violates applicable legislation.

DUNA reserves the right to take the necessary technical and legal measures regarding activities considered to threaten security or be unlawful.

6Intellectual and Industrial Property Rights

Intellectual and industrial property rights in trademarks, logos, product images, designs, texts, catalogues, videos, databases, software and other content on the Website belong to DUNA or the relevant rights holders.

Website content may not be copied, reproduced, published, modified, distributed or used on another platform for commercial purposes without the written permission of DUNA or the relevant rights holder.

Copyright, trademark and other ownership notices displayed on content may not be removed or altered.

7Product, Price, Stock and Order Information

DUNA exercises due care to ensure that product information, technical specifications, images, prices and stock availability on the Website are accurate and current. Nevertheless, typographical, pricing, stock, image or technical information errors that may occur inadvertently may be corrected in accordance with applicable legislation.

Company-specific prices, discounts, payment and delivery conditions may vary according to the User’s commercial membership status. Approval and processing of an order by DUNA are subject to the conditions communicated during the ordering process.

Product images are provided for information purposes. There may be differences in packaging, colour shade and production batch that do not affect the product’s function or principal characteristics.

8B2B Sales and Consumer Transactions

The Website is primarily a B2B sales platform serving registered reseller companies and commercial business partners. Transactions by members acting for commercial or professional purposes are assessed with due regard to the parties’ status as merchants or professionals.

Where the User is considered a consumer under applicable legislation, Law No. 6502 on Consumer Protection, the Distance Contracts Regulation and related mandatory provisions apply. Nothing in these terms limits the mandatory rights granted to consumers.

9Website Availability

DUNA takes reasonable technical and administrative measures to ensure that the Website operates continuously and securely. Temporary interruptions in access may occur due to maintenance, updates, infrastructure work, internet connectivity, cyberattacks, force majeure or reasons beyond DUNA’s control.

DUNA’s obligations arising from mandatory legislation remain in force.

10Personal Data and Cookies

Users’ personal data are processed in accordance with Law No. 6698 on the Protection of Personal Data and related legislation. Detailed information on the processing of personal data is provided in the KVKK Privacy Notice, Privacy and Security Policy and Cookie Policy published on the Website.

Termination of membership does not mean that order, invoice, payment, accounting and transaction records required to be retained by law will be deleted immediately. These records may be retained for the statutory retention periods.

11Electronic Communications

Service communications concerning membership, orders, payments, delivery, security and account procedures may be sent to the User’s registered contact details.

Commercial electronic communications for campaigns, advertising and marketing are sent in accordance with the consent or exemption requirements specified in applicable legislation. The User may change commercial electronic communication preferences or reject communications through the methods prescribed by law.

Acceptance of the membership terms alone does not constitute consent to receive commercial electronic communications.

12Suspension and Termination of Membership

The User may request termination of membership using the methods provided on the Website or by contacting DUNA.

DUNA may temporarily suspend or terminate membership in the event of a breach of these terms, unlawful use, a security risk, suspected fraud, provision of incorrect information, failure to fulfil payment obligations or circumstances requiring protection of Website security.

Where possible and appropriate, the User is informed of the breach and may be given a reasonable period to remedy it. In urgent cases involving suspected security breaches, fraud or illegality, DUNA may temporarily suspend the account without prior notice.

13Notices

Information concerning membership and service processes may be sent to the User’s registered email address, telephone number or account on the Website.

Where legislation prescribes a specific method for formal notice or service, these electronic communications alone do not replace legal service. Formal notices are made using the methods specified in applicable legislation.

The User is responsible for updating changes to contact details through the account or notifying DUNA.

14Amendments to These Terms

DUNA may update these terms due to legislative changes, Website features, security requirements or developments in service processes.

The current text is published on the Website. Changes that materially affect users’ rights and obligations may also be notified through appropriate communication channels. Changes do not retrospectively affect transactions completed before their effective date.

15Governing Law and Disputes

These terms are governed by the laws of the Republic of Türkiye. Courts and other competent authorities having jurisdiction under applicable legislation shall resolve disputes.

Users who qualify as consumers retain their rights to apply to consumer arbitration committees, consumer courts and other competent authorities.
